Terms of Service
Last updated: 27 September 2026
These Terms of Service ("Terms") govern your access to and use of UC (Upper Circle), the careers, community and learning platform available at uppercircle.online, including our website, applications and related services (together, "UC" or the "Service"). Please read them together with our Privacy Policy, which explains how we handle your personal data. By creating an account or otherwise using UC, you agree to be bound by these Terms.
Acceptance of these terms
By accessing or using UC, you confirm that you've read, understood and agree to these Terms and our Privacy Policy. If you don't agree, please don't use UC. We may update these Terms from time to time, as described in "Changes to these terms" below.
Eligibility and your account
To use UC, you must:
- —Be at least 16 years old, or the minimum age for consenting to online services in your country if that's higher.
- —Provide accurate, current information when you register, and keep it up to date.
- —Keep your password and any passkey or account credentials confidential, and tell us promptly at legal@uppercircle.online if you suspect unauthorised access to your account.
- —Use only one personal account, unless you're managing a business or organisation page as part of your role there.
You're responsible for all activity that happens under your account. We may suspend or close accounts that provide false information or that we reasonably believe pose a risk to UC or other members.
Acceptable use
UC exists to help people find real opportunities and genuine connections. When using it, you agree not to:
- —Harass, bully, threaten, discriminate against, or abuse other members, including through direct messages or community spaces.
- —Post or share illegal content, or content that infringes someone else's rights, is fraudulent or deceptive, or misrepresents your identity, qualifications or a listing.
- —Post job, internship or business listings that are fake, unlawfully discriminatory, or that charge candidates a fee to apply or to be hired.
- —Scrape, crawl, harvest or otherwise systematically extract data from UC, or use bots to create accounts, message members, or apply to listings, without our prior written permission.
- —Attempt to bypass, disable or interfere with security features, rate limits or access controls, or otherwise probe, test or attack UC's systems without authorisation.
- —Reverse-engineer, decompile or attempt to extract UC's source code, except where the law gives you the right to do so.
- —Use UC to send spam, malware, or unsolicited commercial communications.
We may remove content, restrict features, or suspend or terminate accounts that break these rules, and may report unlawful activity to the relevant authorities.
Your content and licence to UC
You keep ownership of the content you post on UC, your profile information, messages, listings, community posts, applications and anything else you submit ("Your Content"). By posting Your Content, you grant UC a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and distribute it as needed to operate and improve the Service, for example, showing your profile to other members, or your application to an employer you apply to.
This licence ends when you delete the content or your account, except where it's already been shared with another member (such as a sent message or a submitted application) or where we need to retain a copy for legal reasons. You're responsible for Your Content and must have the rights necessary to post it.
Jobs, internships and business listings
UC provides a marketplace where employers, businesses and organisations ("Listing Owners") can publish jobs, internships and business listings, and members can discover and apply to them. For these third-party listings, UC is a venue and facilitator only:
- —UC is not the employer and does not become a party to any employment, internship or engagement arising from a third-party listing. That relationship is formed directly between you and the Listing Owner.
- —We don't guarantee the accuracy of any listing, the conduct or reliability of any Listing Owner or applicant, or that any application will lead to an offer, interview, or paid or unpaid engagement.
- —You're responsible for verifying any listing and Listing Owner before applying, sharing personal data, or accepting an opportunity, and for complying with applicable employment and immigration law.
UC Internship Opportunities (UCIO) are different. UCIO internships are offered and hosted by UC itself, they are UC's own programme, not third-party listings, and for a UCIO placement UC is the host organisation. UCIO placements are unpaid: taking one does not create paid employment or entitle you to a wage, salary or a paid role with UC. On completion, UC issues a letter of recognition confirming your participation only, it is not a formal qualification, an employment reference, or a guarantee of any further offer, role or outcome.
If you post a listing as a Listing Owner, you're responsible for its accuracy and legality, including compliance with equal-opportunities and employment law in the jurisdictions where it applies.
UC Academy
UC Academy provides educational courses, simulated labs and learning materials to help members build practical skills. The Academy is provided for educational purposes only. Unless a specific course says otherwise:
- —Academy content, certificates of completion and previews are not an accredited qualification, do not constitute professional certification, and are not a guarantee of employment, skill level or performance.
- —Simulated labs, exercises and terminal walkthroughs are training environments only. Don't rely on Academy content as professional, security, legal or technical advice for production or real-world systems without independent verification.
- —The Academy, like the rest of UC, is provided "as is": we work to keep it accurate and available, but we don't guarantee it will be error-free, uninterrupted, or suitable for a particular purpose.
UCAP Membership and billing
- —UCAP Membership costs US$12.99 per month or US$129.99 per year, plus any applicable tax (such as GST), and gives access to all UCAP courses, exams and the Kraitos tutor while it is active.
- —Memberships renew automatically at the end of each billing period and your payment method is charged until you cancel.
- —You can cancel or switch plans at any time from the Membership & billing page. After cancelling you keep access until the end of the period you have already paid for; no partial refunds are given for unused time, except where required by law.
- —Switching between monthly and annual takes effect immediately, and unused time on your current plan is credited toward the new one.
- —If a payment fails, we retry automatically and you keep access in the meantime; access ends if all retries fail.
- —If a payment is refunded or disputed, the membership is cancelled and access ends immediately.
- —Payments are processed by our payment partner; we do not store your full card details. Nothing in these terms limits your rights under the Australian Consumer Law.
Community features
UC's community groups let members organise around shared interests, causes and local networks. Group owners and moderators can set additional rules for their group, which apply in addition to these Terms. We may remove groups or content, or restrict membership, where they breach these Terms or put other members at risk.
Disclaimers
UC is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We don't warrant that UC will be uninterrupted, secure, timely or error-free, that defects will be corrected, or that UC, job matches, applications or Academy content will meet your requirements or expectations.
Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited under the law that applies to you, including under UK consumer law where you're a UK consumer.
Limitation of liability
To the maximum extent permitted by law, UC and its team won't be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, goodwill or opportunity, including a missed job, internship or business opportunity, arising out of or relating to your use of UC, even if we've been advised of the possibility of such damages.
Our total liability for any claim arising from these Terms or your use of UC is limited to the greater of £100 or the amount you've paid us in the twelve months before the claim arose, since UC's core features are currently offered free of charge. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that can't lawfully be limited or excluded.
Termination
You can stop using UC and close your account at any time from your account settings. We may suspend or terminate your access to UC, in whole or in part, if you breach these Terms, if we reasonably believe your account poses a risk to UC or other members, if required by law, or if we decide to discontinue the Service, in which case we'll try to give you reasonable notice where we can.
Sections of these Terms that by their nature should survive termination, including ownership, disclaimers, limitation of liability, and governing law, will continue to apply.
Changes to these terms
We may update these Terms as UC evolves or as the law requires. If we make material changes, we'll let you know, for example, by email or a notice on the platform — before they take effect. The "Last updated" date at the top of this page shows when these Terms last changed. Continuing to use UC after a change takes effect means you accept the updated Terms; if you don't agree, please stop using UC and close your account.
Governing law and disputes
These Terms, and any dispute arising out of or relating to them or UC, are governed by the laws of England and Wales, without regard to conflict-of-law principles. The courts of England and Wales have exclusive jurisdiction over any dispute, except that if you're a consumer resident elsewhere in the UK or the EU, you may also be entitled to bring proceedings in your country of residence under applicable mandatory consumer-protection law.
